This Privacy Policy outlines the manner in which personal information is processed by OpenMicz and its affiliates ("we," "us," or "OpenMicz") concerning your usage of the OpenMicz Platform.

Undefined terms in this Privacy Policy have the same definition as in our Terms of Service (“Terms”).

We gather personal information from you as you use the OpenMicz Platform, essential for providing the requested services. This includes:

• Contact, Account, and Profile Information. First and last name, phone number, postal address, email address, date of birth, and profile photo, based on the features you utilize.
• Identity Verification and Payment Information. Images of your government-issued ID, ID number, verification details, and bank/payment account information. If you're not an OpenMicz user, we may receive payment information related to you.

You have the option to provide additional personal information, including:

• Additional Profile Information. Gender, preferred language(s), city, and personal description, some of which may be publicly visible on your profile page.
• Information About Others. Details about payment instruments belonging to others or information about co-hosts, co-performers, and co-producers, provided you have the necessary permissions.
• Address Book Contact Information. Contacts from your address book, if imported manually.
• Other Information. Data provided through forms, surveys, community forums, and interactions with OpenMicz Support, including health information if shared voluntarily.

As you use the OpenMicz Platform and Payment Services, certain information is collected automatically, such as:

• Geolocation Information. Precise or approximate location determined from your device's settings or information shared by you.
• Usage Information. Pages/content viewed, searches, bookings, additional services, and other interactions on the platform.
• Log Data and Device Information. Details about web usage, IP address, access dates, hardware/software information, unique identifiers, and pages viewed.
• Cookies and Similar Technologies As Described in Our Cookie Policy.
• Payment Transaction Information. Details of payment transactions, including payment instrument, date, time, amount, and related information.

We collect information from third-party sources, such as:

• Third-Party Services. Information from linked services like Instagram, TikTok, YouTube, Google or Facebook, as authorized by you.
• Background Information. Criminal records, sex offender registrations, and background information in accordance with applicable laws.
• Referrals, Co-Performers, Co-Hosts and Co-Producers. Information provided by the person inviting you to the OpenMicz Platform.
• Host Insurance. Information related to insurance claims for processing and assessment.
• Other Sources. Additional data from third-party service providers and partners, including references, demographic data, and health information for fraud prevention and safety measures.

We may process this information to:

• Enable platform access, payment transactions, and communication among Users.
• Facilitate requests, conduct analytics and research, and offer customer service training.
• Deliver messages, updates, security alerts, and account notifications.
• Process, handle, or assess insurance claims.
• Personalize experiences based on interactions, search and booking history, profile information, and preferences.
• Enable the use of enterprise products and accommodation services.

If you share contacts’ information, we may process it to:

• Facilitate referral invitations.
• Share event or host details.
• Detect and prevent fraud.
• Fulfill authorized requests.

We may analyze this data to:

• Identify and prevent instances of fraud, spam, abuse, security and safety issues, and other harmful activities.
• Address and combat discrimination.
• Conduct fraud prevention, security investigations, and risk assessments.
• Verify or authenticate the information provided by you.
• Conduct checks against databases and various information sources, including background checks.
• Fulfill our legal obligations, safeguard the health and well-being of our Performers, Producers, Hosts, Hosts' employees, and the general public.
• Resolve disputes with our Users, including sharing information with your co-Host(s), co-Producers, co-Performers or additional Users regarding disputes related to your role as any of the aforementioned Users.
• Enforce agreements with third parties.
• Comply with the law, respond to legal requests, prevent harm, and protect our rights (see section 4.5).
• Enforce our Terms and other policies.
• Assess or evaluate your interactions with the OpenMicz Platform and information obtained from third parties.

In limited cases, automated processes, which scrutinize your account and activities on the OpenMicz platform, along with information related to activities on and off the OpenMicz platform associated with you, could limit or suspend your access to the OpenMicz Platform if such processes detect activity that may pose a safety or other risk to OpenMicz, our community, or third parties. If you wish to challenge decisions based on automated processes, please contact us via email or phone.

• Sending you promotional messages, marketing, advertising, and other information based on your preferences and utilizing social media advertising through social media platforms.
• Personalizing, measuring, and enhancing our advertising.
• Administering referral programs, rewards, surveys, sweepstakes, contests, or other promotional activities or events sponsored or managed by OpenMicz or its third-party partners.
• Analyzing characteristics and preferences to send you promotional messages, marketing, advertising, and other information that we believe might be of interest to you.
• Inviting you to events and relevant opportunities.
• Sending, with your consent, promotional messages, marketing, advertising, and other information that may be of interest to you based on your preferences.

We may scrutinize, scan, or assess your communications on the OpenMicz Platform for reasons outlined in the "How We Use Information We Collect" section of this policy, including fraud prevention, security investigations, risk assessment, regulatory compliance, product development, research, analytics, enforcing our Terms of Service, and customer support purposes. Subject to applicable law, we also scan and analyze all images uploaded by users to the OpenMicz platform in message threads, profiles, listings, and events for certain illegal or inappropriate activities to identify and report content violations to appropriate authorities. In some instances, we may manually review communications to debug, improve, and expand product offerings, especially for fraud investigations and customer support, or to assess and improve the functionality of automated tools. It's important to note that we will not scrutinize, scan, or analyze your messaging communications to send third-party marketing messages to you, and we will not sell reviews or analyses of these communications. Additionally, we may share your communications as outlined in the "Sharing & Disclosure" section.

You have the option to connect your OpenMicz account with specific third-party services like social networks. When you initiate data sharing by establishing this link:

• Some of the information we receive from linking accounts may be made public on your profile.
• Your activities on the OpenMicz Platform might be visible to your Friends on the OpenMicz Platform and/or that third-party service.
• A link to your public profile on that third-party service may be included in your OpenMicz public profile.
• Other OpenMicz users may see Friends you have in common with them, or that you are a Friend of their Friend if applicable.
• Other OpenMicz users may be able to view common schools, hometowns, or other groups you share with them, as listed on your linked social networking service.
• Information you provide to us through the linking of your accounts may be stored, processed, and transmitted for purposes of fraud prevention, security investigations, and risk assessment.
• The publication and display of information you provide to the OpenMicz Platform through this linkage are subject to your settings and authorizations on the OpenMicz Platform and the third-party service.

• Detecting and preventing money laundering, fraud, abuse, and security incidents, as well as conducting risk assessments.
• Complying with legal and compliance obligations, such as anti-money laundering regulations and sanctions enforcement.
• Enforcing the Payments Terms of Service and other payment policies.
• Providing and enhancing Payment Services.

With your consent, we share your information as described during consent, such as authorizing third-party applications or websites to access your OpenMicz account or participating in promotional activities by OpenMicz partners or third parties. In compliance with applicable law, we may use certain de-identified information, like your email address, shared with social media platforms to generate leads, drive traffic to OpenMicz, or promote our products and services.

To facilitate bookings or interactions between Users, sharing may occur in scenarios such as:

• When a booking request is made or a dispute is submitted, information like profiles, names, additional Producers, cancellation history, review details, age of Producer (if allowed by law), dispute outcomes (if applicable), and other shared or submitted information.
• After a booking is confirmed, additional details are shared for event coordination, including event photos, profile photos and phone numbers.
• When a Host has a confirmed booking, certain information is shared with the Producer (and additional Producers, and Performers if any) for booking coordination, such as profile, full name, phone number, and space address.
• Communication details, such as name, profile picture, and message content.

• When a Producer invites additional Producers and Performers to an event, information shared includes names, event dates, Host details, Space information,
• Space address, and related event details.
• Accepting a lineup invitation with Producers authorizes them to access your information and Content, including full name, phone number, profile photos, and email address.

Certain information can be made publicly visible, including:

• Your public profile page, featuring your profile photo, full name, biography, and city.
• Listing pages with details like location, calendar availability, profile photo, and additional shared information.
• Reviews, ratings, and public feedback.
• Content in community forums, blogs, or social media posts.

Parts of your public profile and other accessible content may be displayed on third-party sites, platforms, and apps. Publicly shared OpenMicz Platform information may be indexed by third-party search engines.

Hosts have the option to utilize third-party services for the management or delivery of their services, such as advanced food services, coat check or valet services at the space venue. Through features on the OpenMicz Platform, Hosts can leverage these services to share specific information about the Producer, including event start and end details, Producer name, and Producer phone number, with the designated third-party service providers.

We may divulge your information to courts, law enforcement, governmental or public authorities, tax authorities, authorized third parties, or other Users, as required or permitted by law or when disclosure is reasonably necessary to: (i) fulfill our legal obligations. (ii) respond to a valid legal request, such as a subpoena or court order, or address claims against OpenMicz. (iii) address a valid legal request related to a criminal investigation, addressing alleged or suspected illegal activity, or responding to any other activity that may expose us, you, or any other user to legal or regulatory liability. (iv) enforce and administer agreements with Users, including our Terms, and Policies. (v) protect the rights, property, or personal safety of OpenMicz, its employees, its Users, or the public. We may notify Users about legal requests unless: (i) providing notice is prohibited by the legal process, court order, or applicable law. (ii) we believe that providing notice would be futile, ineffective, create a risk of injury or bodily harm, or increase the risk of fraud upon or harm to OpenMicz, our Users, or expose OpenMicz to a claim of obstruction of justice.

In jurisdictions where required or permissible by applicable law, we may disclose information of Hosts, Performers and/or Producers to tax authorities or other governmental agencies. This is done for the purpose of enabling tax authorities to determine compliance with relevant tax obligations.
The disclosed information may include, but is not limited to, Host, Performer and Producer names, space listing addresses, Host addresses, tax/business identification numbers, date of birth, contact information, payout details, transaction dates and amounts, number of events and the Producers that booked, gross and net booking value, payout amounts, and taxes collected by OpenMicz on behalf of Producers, Performers and Hosts, to the extent known by OpenMicz.

In jurisdictions where OpenMicz is involved in facilitating or requiring registration, notification, permits, or license applications or numbers for a Host with a governmental authority, information about participating Hosts may be shared with the relevant authority. This includes the Host's full name and contact details, Space listing address, tax identification number, registration, permit, or license number, Listing details, booking information, and number of hours or events booked, subject to applicable laws.

We share personal information with both affiliated and unaffiliated service providers (including their own service providers) to facilitate various aspects of our business operations and ensure compliance. These service providers assist us in tasks such as: (i) verifying your identity or authenticating identification documents. (ii) cross-checking information against public databases. (iii) conducting background checks, fraud prevention, security investigations, and risk assessments. (iv) undertaking product development, maintenance, and debugging. (v) enabling the provision of OpenMicz Services through third-party platforms and software tools (e.g., via API integration). (vi) providing customer service, advertising, or payment services. (vii) offering additional services based on your preferences. (viii) processing, handling, or evaluating insurance claims or similar claims. (ix) reviewing, scanning, and analyzing communications on the OpenMicz Platform for specific purposes.

These service providers are contractually obligated to safeguard your personal information, and their access is restricted to performing these designated tasks. It's important to note that other Users may utilize services outside of OpenMicz's control to process your data, such as email management software, which will be subject to applicable data protection laws worldwide.

In the event of any merger, acquisition, reorganization, asset sale, bankruptcy, or insolvency involving OpenMicz, we may sell, transfer, or share some or all of our assets, including your information. This may occur in connection with such a transaction or as part of the due diligence process. Prior to the transfer of your personal information and its exposure to a different privacy policy, we will notify you.

Certain components of OpenMicz may connect to external services. It's important to note that OpenMicz does not possess authority or oversight over these third-party entities. When engaging with these third parties and opting to utilize their services, you are furnishing your information directly to them. Your utilization of these services is subject to the privacy policies established by those providers, which may include Google Maps/Earth Additional Terms of Use, Google Privacy Policy, and Stripe Privacy Statement.

You have the right to exercise any of the rights detailed in this section, in accordance with relevant laws.

You can manage and revise certain aspects of your personal information by accessing your Account settings. If you linked your OpenMicz Account to a third-party service, you have the option to adjust your settings and disconnect from that service within your Account settings. It is your responsibility to ensure the accuracy and currency of your personal information.

In certain jurisdictions, you have the right to request the deletion of your personal information. However, it's important to note that if you request the deletion of your personal information or if your account is suspended, terminated, or voluntarily closed:

• We may retain your personal information as necessary for our legitimate business interests, such as preventing money laundering, detecting and preventing fraud, and enhancing safety. For instance, if we suspend an OpenMicz Account for fraud or safety reasons, we may retain information from that OpenMicz Account to prevent that Member from opening a new OpenMicz Account in the future.
• We may retain and use your personal information to the extent necessary to comply with our legal obligations. For example, OpenMicz and OpenMicz Payments may keep information for tax, legal reporting, and auditing obligations.
• Information you have shared with others (e.g., Reviews, forum postings) may continue to be publicly visible on OpenMicz, even after your OpenMicz Account is canceled.
• Due to the measures we take to protect data from accidental or malicious loss and destruction, residual copies of your personal information may not be removed from our backup systems for a limited period of time.

Although no organization can provide absolute assurance of perfect security, we are dedicated to ongoing efforts in implementing and updating administrative, technical, and physical security measures. These measures are designed to help safeguard your information against unlawful or unauthorized access, loss, destruction, or alteration.

We retain the right to amend this Privacy Policy as needed, consistent with applicable law. In the event of any modifications, we will publish the updated Privacy Policy and indicate the "Last Updated" date at the top. For substantial changes, we commit to notifying you through email at least fourteen (14) days before the changes take effect. If you disagree with the updated Privacy Policy, you have the option to terminate your Account. Failure to cancel your Account before the effective date of the revised Privacy Policy means that your continued access to or use of the OpenMicz Platform will be governed by the updated Privacy Policy.
